1. Introduction
Welcome to Distinction, a digital learning platform operated by FlexiSAF Ltd, registered in England and Wales. These Terms of Use (“Terms”) govern your access to and use of Distinction’s website, mobile applications, content, and services (collectively, the “Platform”).

- “Organisation” or “Institution” refers to an entity that uses Distinction to host learning materials for its members.
- “Course” includes any learning material, module, or assessment published on the Platform.
- “Certificate” refers to a digital or printed proof of course completion issued by Distinction.
- “Voucher” or “Gift Card” refers to promotional or prepaid credits redeemable for Platform services.
3. Eligibility and Account Registration
To use Distinction, you must:
- Be at least sixteen (16) years old or of legal age in your jurisdiction.
- Provide accurate and complete registration information.
- Safeguard your login credentials and accept responsibility for all activity under your account.
If you create an account on behalf of an organisation, you warrant that you are authorised to represent that organisation and to accept these Terms on its behalf.
Distinction reserves the right to suspend or terminate any account found to contain false information, be misused, or violate these Terms.
4. Access and Licence
Distinction grants you a limited, non-exclusive, non-transferable, and revocable licence to use the Platform and access content for personal or institutional learning purposes only.
You agree not to:
- Copy, reproduce, sell, or exploit any part of the Platform or content for commercial use without written permission;
- Interfere with or disrupt the security, functionality, or performance of the Platform;
- Access or use another user’s account;
- Engage in cheating, fraud, or other dishonest practices intended to gain an unfair advantage on the Platform, including but not limited to manipulating assessments, certificates, or gamification features;
- Reverse-engineer, decompile, or attempt to derive the source code of any portion of the Platform.
Violation of this licence may result in immediate termination and potential legal action.
5. Learner Terms
5.1 Enrolment and Access
When you enrol in a course, you obtain a licence to view and use that course’s materials for the duration specified. Distinction and its creators reserve the right to modify or discontinue any course at any time.
5.2 Free and Paid Courses
Courses on Distinction may be free or paid. All fees are displayed clearly before purchase and processed through approved payment gateways. Distinction is not responsible for additional charges from your bank or payment provider.
5.3 Certificates and Verification
Upon successful completion of certain courses, learners may be eligible to obtain a Certificate of Completion.
- Free certificates may be offered for some courses.
- Paid certificates include verification, a unique identification code, and optional digital or printed copies.
- Certificates are issued in the learner’s legal name and may be used for professional verification where accepted.
- Altering, reproducing, or misrepresenting a certificate is strictly prohibited.
Certificate fees are non-refundable once a certificate is issued.
5.4 Refund Policy
Refunds are available only in limited cases, such as accidental duplicate charges or technical issues preventing course access. Requests must be made within 14 days of purchase.
5.5 Youtube Service
By using Distinction, which utilizes YouTube API Services, you agree to be bound by the YouTube Terms of Service. You must be at least the minimum age of digital consent in your country to use the Service. You agree to provide accurate information when using the Service and will not attempt to misuse or interfere with YouTube API Services or any third-party services used in this platform. All rights in and to our content remain with FlexiSAF, and all rights in and to YouTube content remain with YouTube and its licensors.
6. Creator Terms
6.1 Registration and Approval
Creators must register for a Creator Account and may be subject to content review and approval. Distinction reserves the right to reject or remove any content that violates these Terms or quality standards.
6.2 Content Ownership and Rights
Creators retain ownership of their original materials but grant Distinction a worldwide, royalty-free licence to host, distribute, and promote the content on the Platform.
Creators confirm that:
- All materials are original or properly licensed;
- No content infringes third-party rights;
- They hold all necessary permissions for distribution.
6.3 Revenue Share and Payments
Creators may earn revenue from paid courses under Distinction’s Creator Revenue Share Policy.
Payouts are made monthly, subject to minimum thresholds. Distinction reserves the right to withhold or adjust payments in case of refunds, fraud, or policy breaches.
6.4 Content Standards
All courses must provide educational value, accuracy, and respect for community standards.
Distinction may edit or remove courses that fail to meet these standards.
7. Institutional Hosting
Organisations may use Distinction to host or distribute internal learning materials for employees, students, or members.
Institutions retain ownership of their uploaded materials but grant Distinction a licence to store and deliver content to authorised users.
Each organisation is responsible for managing access, ensuring content accuracy, and complying with UK GDPR regarding personal data.
8. Payments, Pricing, and Promotions
All prices are displayed along their currency based on your location. Taxes and fees may apply depending on your location.
Distinction may update pricing, introduce promotions, or modify billing terms at any time.
Subscription-based plans renew automatically unless cancelled before the next billing date.
8.1 Gift Cards and Vouchers
Distinction may issue or accept gift cards, promo codes, or vouchers that can be redeemed for eligible products or services.
- Vouchers cannot be exchanged for cash and must be used before the stated expiry date.
- Distinction reserves the right to reject or cancel vouchers suspected of fraud or misuse.
- Each voucher is personal and non-transferable unless otherwise stated.
9. Affiliate Programme
Distinction offers an Affiliate Programme for approved partners to promote courses through referral links.
- Affiliates must comply with the Affiliate Agreement.
- Commissions are earned only from completed purchases through valid tracked links.
- Fraudulent or spam-based promotions result in termination and forfeiture of commissions.
10. Gamification Features
Distinction includes gamification features such as badges, points, ranks, or leaderboards designed to encourage engagement.
- These features have no monetary value and cannot be exchanged for cash, credit, or discounts.
- Distinction reserves the right to modify, pause, or remove gamification systems at any time.
- Abuse or exploitation of these features may lead to account suspension.
11. Intellectual Property
All intellectual property in the Platform, including software, design, trademarks, and branding, belongs to FlexiSAF Ltd or its licensors.
Users may not use Distinction’s name, logo, or trademarks without prior written consent.

12. Online Advertising
Distinction may display online advertisements on its Platform. These may include:

While Distinction aims to partner with reputable advertisers, it does not endorse third-party products or services and bears no liability for their accuracy, quality, or availability.
You may manage advertising preferences via your account or browser settings where applicable.
13. Conduct and Community Standards
Users must maintain professionalism and respect across the Platform.
Prohibited activities include:
- Illegal or defamatory posts;
- Harassment, hate speech, or discriminatory conduct;
- Misrepresentation of qualifications or achievements;
- Unauthorised solicitation or data collection.
Breaches may result in account suspension or permanent termination.
14. Termination and Suspension
Distinction may suspend or terminate accounts for violations, fraud, or inactivity.
Users may close their accounts at any time.
Upon termination, licences and access rights end, though records may be retained where legally required.

To the fullest extent permitted by law, FlexiSAF Ltd is not liable for:
- Indirect or consequential losses;

Total liability shall not exceed the amount paid by you to Distinction in the six (6) months prior to any claim.
17. Indemnity
You agree to indemnify and hold harmless FlexiSAF Ltd, its affiliates, and employees against any claims or losses arising from your breach of these Terms or misuse of the Platform.
18. Modifications to the Platform and Terms
Distinction may update the Platform or these Terms periodically.
Changes will be announced via the website or email. Continued use after notice signifies acceptance of the updated Terms.
19. Governing Law and Jurisdiction
These Terms are governed by and construed under the laws of England and Wales.
Disputes shall be resolved exclusively by the courts of England and Wales.
